1. Introduction

Welcome to Bejofay Logistics. These Terms and Conditions govern your use of our services and website. By accessing our website or using our services, you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, please do not use our services or website.

Bejofay Logistics ("we," "our," or "us") reserves the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting on our website. Your continued use of our services following any changes indicates your acceptance of those changes.

2. Services

Bejofay Logistics offers various logistics and supply chain services, including but not limited to:

Transportation and freight services
Warehousing and distribution
Supply chain management
International shipping
Freight forwarding

Service details, including pricing, delivery times, and availability, are subject to change without prior notice. While we strive to provide accurate information, we do not warrant that descriptions or other content on our website are accurate, complete, reliable, current, or error-free.

3. Service Agreements

All logistics services provided by Bejofay Logistics are subject to a specific service agreement. The service agreement will outline the scope of services, pricing, delivery schedules, and other relevant terms specific to your business needs.

In the event of a conflict between these general Terms and Conditions and the specific service agreement, the terms of the service agreement shall prevail.

3.1 Service Quotations

Quotations provided by Bejofay Logistics are valid for 30 days from the date of issuance unless otherwise specified. Prices may be subject to change based on fluctuations in fuel costs, currency exchange rates, or other factors beyond our control.

3.2 Service Changes

Any changes to the agreed-upon services must be requested in writing and are subject to approval. Additional charges may apply for changes requested after a service agreement has been established.

4. Payment Terms

Payment terms for our services are specified in each service agreement. Unless otherwise stated:

Invoices are due within 30 days of the invoice date
Late payments may incur a fee of 1.5% per month on the outstanding balance
We accept payment via bank transfer, credit card, and other methods specified in the service agreement

You agree to pay all charges incurred by you or on your behalf through the service agreement, at the prices in effect when such charges are incurred.

5. Delivery and Risk

Delivery times provided are estimates only and are not guaranteed. Bejofay Logistics will not be liable for any losses, damages, or expenses arising from any delay in delivery.

5.1 Risk Transfer

The risk of loss or damage to goods shall pass to the customer at the time of delivery or, if the customer wrongfully fails to take delivery of the goods, at the time when Bejofay Logistics has tendered delivery of the goods.

5.2 Inspection of Goods

The customer should inspect all goods upon delivery and note any damage or discrepancies on the delivery receipt. Claims for visible damage or shortages not noted on the delivery receipt may be denied.

6. Liability Limitations

Bejofay Logistics' liability for any loss or damage arising out of or related to our services shall be limited to:

For international air transportation: as per the Montreal Convention or the Warsaw Convention, as applicable
For road transportation within Turkey: as per Turkish transportation laws and regulations
For warehousing services: the lesser of the actual value of the goods or 2 SDR per kilogram of gross weight

In no event shall Bejofay Logistics be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or anticipated savings.

7. Insurance

Bejofay Logistics recommends that customers obtain appropriate insurance coverage for their goods. Upon request, we can arrange insurance coverage at an additional cost, subject to the terms and conditions of the insurance provider.

The customer acknowledges that without specific arrangements for additional insurance, the liability of Bejofay Logistics is limited as per Section 6 above.

8. Force Majeure

Bejofay Logistics shall not be liable for any delay or failure to perform its obligations resulting from circumstances beyond our reasonable control, including but not limited to:

Natural disasters
Wars, riots, civil unrest
Acts of government or regulatory authorities
Labor disputes
Transportation network disruptions
Severe weather conditions
Pandemics or public health emergencies

In such cases, performance of obligations shall be suspended for the duration of the force majeure event.

9. Intellectual Property

All content on the Bejofay Logistics website, including but not limited to text, graphics, logos, images, and software, is the property of Bejofay Logistics and is protected by Turkish and international copyright and trademark laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or publicly perform any content from our website without prior written permission from Bejofay Logistics.

10. Confidentiality

Bejofay Logistics and the customer agree to maintain the confidentiality of any proprietary or confidential information shared during the course of business. This includes but is not limited to business plans, pricing strategies, customer lists, and operational procedures.

This confidentiality obligation shall survive the termination of any service agreement for a period of two years.

11. Data Protection

Bejofay Logistics collects and processes personal data in accordance with our Privacy Policy and applicable data protection laws. For more information on how we collect, use, and protect your personal data, please refer to our Privacy Policy.

12. Termination

Either party may terminate a service agreement by providing written notice as specified in the service agreement. Upon termination:

The customer shall pay for all services rendered up to the termination date
Bejofay Logistics shall return any goods in its possession to the customer, subject to payment of all outstanding invoices
Provisions relating to confidentiality, intellectual property, and liability limitations shall survive termination

13. Governing Law and Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Turkey, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms and Conditions or any service agreement shall be resolved through:

Amicable negotiations between the parties
If negotiations fail, mediation in Ankara, Turkey
If mediation fails, binding arbitration in Ankara, Turkey, in accordance with the rules of the Istanbul Arbitration Centre

14. Miscellaneous

14.1 Entire Agreement

These Terms and Conditions, together with any service agreement, constitute the entire agreement between the parties concerning the subject matter hereof and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral.

14.2 Severability

If any provision of these Terms and Conditions is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms and Conditions shall otherwise remain in full force and effect.

14.3 Waiver

No waiver of any term of these Terms and Conditions shall be deemed a further or continuing waiver of such term or any other term, and any failure to assert a right or provision shall not constitute a waiver of such right or provision.

14.4 Assignment

The customer may not assign its rights or obligations under these Terms and Conditions or any service agreement without the prior written consent of Bejofay Logistics.
